1. Acceptance of the Terms

These Terms of Use govern access to and use of the ROF Carbon website and platform (the “Platform”). By accessing or using our services, you declare that you have read, understood and fully agree to these Terms and to our Privacy Policy.

If you do not agree with any condition set out herein, you must not use the Platform.

2. Definitions

• ROF Carbon: a brand of ROF Capital e Participações e Negócios Empresariais Ltda., CNPJ 50.162.873/0001-79, responsible for the distribution, user-experience and market-intelligence layer.
• Platform: the website, systems and features provided by ROF Carbon.
• User: the individual or legal entity that accesses or uses the Platform.
• Scientific Partner: the research institution responsible, exclusively, for the scientific methodology, the calculation engine and the environmental compliance used in the inventory.
• GHG Inventory: the greenhouse gas emissions inventory carried out through the Platform.
• ROF Exchange: the environment for trading validated carbon credits.

3. Description of services

ROF Carbon provides a 100% online, self-guided platform that simplifies the GHG Inventory and supports the decarbonization journey of companies, investors and the public sector. We act as a distribution, experience and market-intelligence layer.

All the scientific rigor — including the calculation engine, methodology and environmental compliance — belongs to and is operated exclusively by the Scientific Partner. ROF Carbon does not interfere with the technical and scientific criteria applied to the inventory.

4. Registration and account

To use certain features, the User must register, providing true, accurate and up-to-date information and being responsible for it. Individual Users must be fully legally capable; corporate Users must be duly represented.

Access is personal and non-transferable. The User is solely responsible for keeping their credentials confidential and for all activities carried out on their account, and must immediately notify ROF Carbon of any unauthorized use.

5. Conditions of use

The User agrees to use the Platform lawfully and in good faith. It is expressly forbidden to:

• Use the Platform for unlawful purposes or that violate these Terms or applicable law;
• Enter false data, third-party data without authorization, or misleading information;
• Attempt to access restricted areas, bypass security mechanisms or perform reverse engineering;
• Collect data in an automated way (scraping) or overload the Platform’s infrastructure;
• Reproduce, distribute or commercially exploit the Platform’s content without authorization.

6. Scientific Partner methodology

The reports and results generated are based on the official scientific methodology of the Scientific Partner, which provides academic backing and allows the data to be auditable and accepted globally. The auditing and technical validation of the data are performed by the Scientific Partner.

ROF Carbon provides the experience and distribution of this service and is not responsible for technical, scientific or compliance criteria, which are owned and operated exclusively by the Scientific Partner.

7. Payments and billing

To ensure tax transparency and legal security, the checkout and billing of the Inventory take place directly on the Scientific Partner's portal, accessed through a secure redirect from the Platform.

Any amounts, conditions, taxes and issuance of tax documents related to the inventory follow the rules of the Scientific Partner's environment at the time of contracting.

8. Carbon market and ROF Exchange

After measuring the liability with the Scientific Partner's methodology, the User may gain access to the ROF Exchange, an environment that connects projects to market liquidity and allows the trading of validated carbon credits.

ROF Carbon acts as an intelligence and market platform and does not guarantee profitability, financial return or any specific result. The information provided is for informational purposes and does not constitute a recommendation or financial, investment or securities advice.

9. Intellectual property

The brand, logo, texts, layout, graphic elements, software and other content of the Platform are owned by ROF Carbon or its licensors and are protected by intellectual property law.

The User is granted a limited, non-exclusive and revocable license to use the Platform in accordance with these Terms, which does not imply the assignment of any intellectual property rights.

10. Disclaimer and limitation of liability

The website and the Platform are institutional and informational in nature. The information provided here does not constitute a public offering of securities, financial advice or a guarantee of future returns.

We make our best efforts to keep the Platform available and secure, but we do not guarantee uninterrupted or error-free operation. To the maximum extent permitted by law, ROF Carbon is not liable for indirect damages, loss of profits or decisions made by the User based on the Platform’s information, nor for third-party services and content.

11. Privacy and data protection

The processing of personal data is governed by our Privacy Policy, in accordance with the General Data Protection Law (LGPD). Among other measures, we adopt data isolation per company (CNPJ) and the traceability of information.

12. Links and third-party services

The Platform may contain links and integrations with third-party services, such as the Scientific Partner's portal and app stores. ROF Carbon does not control and is not responsible for the content, policies or practices of these third parties, whose own terms and policies must be observed by the User.

13. Suspension and termination

ROF Carbon may suspend or terminate, in whole or in part, the User’s access to the Platform in the event of a violation of these Terms, of applicable law, or upon indications of misuse, fraud or security risk, without prejudice to other applicable measures.

14. Changes to the Terms

These Terms may be updated at any time, especially to reflect legal changes or service improvements. The date of the last update will always be indicated at the top of the document. By continuing to use the Platform after revisions, the User agrees to the updated version.

15. Governing law and jurisdiction

These Terms are governed by Brazilian law. The courts of the district where ROF Carbon is headquartered are elected to settle any disputes arising from these Terms, with waiver of any other, however privileged.
